1. Acceptance of Terms

Welcome to M1NDTR8DE. By accessing or using our trading psychology platform, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our service.

M1NDTR8DE is operated by 1337 Trading UG (haftungsbeschränkt), a company registered in Germany, located at Günthersburgallee 89, 60389 Frankfurt am Main.

These Terms constitute a legally binding agreement between you and M1NDTR8DE (1337 Trading UG). Please read them carefully.

2. Description of Service

M1NDTR8DE is a trading psychology platform designed to help traders identify emotional patterns, improve trading discipline, and enhance mental performance. Our service includes:

• Trade importing and tracking from CSV/Excel files
• Psychology journaling for documenting mindset and emotions
• AI-powered psychological insights and pattern recognition (Pro and Elite plans)
• Trading performance analytics and metrics
• Community leaderboard (opt-in)
• Multi-account broker support
• Advanced performance charts and reports

Important: M1NDTR8DE is an educational tool focused on trading psychology. It is not a trading platform, brokerage service, or financial advisory service.

3. Account Registration and Eligibility

3.1 Eligibility

• You must be at least 18 years of age to use this service
• You must provide a valid email address
• You must not be located in a jurisdiction where our service is prohibited
• You must comply with all applicable laws in your jurisdiction

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach
• Ensuring your email address remains current and accessible

3.3 Prohibited Conduct

You agree NOT to:

• Create multiple accounts to abuse the referral system or free trials
• Use disposable email addresses or fake identities
• Share your account credentials with others
• Attempt to circumvent plan limitations or payment requirements
• Reverse engineer, decompile, or attempt to extract source code
• Use automated systems (bots, scrapers) without authorization
• Violate any applicable laws or regulations
• Harass, abuse, or harm other users
• Upload malicious code, viruses, or harmful content

4. Subscription Plans and Pricing

4.1 Available Plans

4.2 Free Trial

• New users receive a 14-day free trial with full Pro plan access
• You may cancel at any time during the trial without charge
• If you do not cancel before the trial ends, your subscription will automatically convert to a paid plan
• Trial extensions may be earned through the referral program
• One trial per user (fraud prevention measures in place)

4.3 Billing and Payments

• Payments are processed securely through Paddle, our Merchant of Record
• Paddle handles VAT, invoicing, and payment processing on our behalf
• Subscriptions automatically renew monthly unless cancelled
• You will be charged at the beginning of each billing cycle
• Prices are listed in Euros (€) and may include applicable VAT
• We reserve the right to change pricing with 30 days' notice
• Price changes do not affect existing subscriptions until renewal

4.4 Cancellation and Refunds

• You may cancel your subscription at any time from your profile settings
• Cancellations take effect at the end of the current billing period
• You will retain access to paid features until the end of your billing period
• 30-Day Money-Back Guarantee: If you are not satisfied with your subscription, you may request a full refund within 30 days of your initial purchase. Refunds for renewal payments are handled on a case-by-case basis.
• For Paddle payments, refund requests are processed by Paddle as Merchant of Record. Contact Paddle Support to request a refund.
• Trial cancellations before the trial ends incur no charges
• Downgrading to a lower plan takes effect at the next billing cycle

4.4.1 EU Right of Withdrawal

Waiver for Immediate Digital Access: By starting to use M1NDTR8DE immediately upon subscription activation (rather than waiting 14 days), you expressly consent to the digital content being provided before the end of the withdrawal period. You acknowledge that you thereby lose your right of withdrawal once the service has been fully performed or you have consumed premium features.

Exception for Free Trials: The withdrawal right does not apply to free trials that you cancel before they convert to a paid subscription. Once you actively consume premium features during a trial, the digital service delivery has begun.

4.5 Promo Codes and Discounts

• Promo codes may be applied at checkout for percentage-based discounts
• Each promo code has specific terms, duration limits, and eligibility requirements
• Promo codes are non-transferable and cannot be combined with other offers
• We reserve the right to revoke promo codes obtained through fraud or abuse
• Founder codes are limited and provide lifetime Founding Member pricing

5. Referral Program

5.1 How It Works

• Each user receives a unique referral code (username-based)
• Share your referral link to invite new users
• Earn XP points and rewards when referrals complete qualifying actions
• Referral tiers provide different reward levels based on your subscription plan
• Rewards may include trial extensions, premium features, or leaderboard XP

5.2 Referral Requirements

For a referral to be valid and eligible for rewards:

• The new user must be a genuine, unique individual
• The new user must use a valid, non-disposable email address
• The new user must meet minimum account age and activity requirements
• The new user must upload a minimum number of trades (anti-abuse measure)
• Referral cookies must be accepted (1-hour attribution window)

5.3 Fraud Prevention

We employ multiple fraud detection measures:

• IP address tracking to prevent multi-accounting
• Device fingerprinting (hashed, non-reversible)
• Disposable email domain blocking (600+ domains)
• Account age verification
• Activity pattern analysis

Referrals flagged as fraudulent will be marked as "fraud_flagged" and will not count toward rewards. Repeated abuse may result in account suspension or termination.

5.4 Prohibited Referral Activities

• Creating multiple accounts to refer yourself
• Using disposable or temporary email addresses
• Automated referral generation or bot usage
• Paying users to sign up through your referral link
• Misrepresenting the service to generate referrals
• Spamming referral links in unsolicited communications

6. AI Psychology Coach and Insights

6.1 Educational Purpose Only

The AI Psychology Coach provides insights based on your trading patterns and journal entries. These insights are for educational and self-improvement purposes only. They are NOT:

• Financial advice or trading recommendations
• Professional psychological counseling or therapy
• Investment advice or signals
• Guarantees of future trading performance
• Medical or mental health treatment

6.2 Consent Required

You must explicitly enable the "Coach Consent" flag in your profile settings to receive AI-generated insights. You may withdraw consent at any time.

6.3 Accuracy and Limitations

• AI insights are generated based on patterns and may not always be accurate
• The AI does not have knowledge of your complete personal circumstances
• Insights should be considered suggestions, not definitive diagnoses
• We do not guarantee the accuracy, completeness, or reliability of AI-generated content

7. Data Ownership and Usage Rights

7.1 Your Data

You retain all ownership rights to:

• Your trading data and transaction history
• Your journal entries and psychological reflections
• CSV/Excel files you upload
• Any content you create within the platform

7.2 Our Rights

By using our service, you grant us a limited license to:

• Store and process your data to provide the service
• Generate AI insights based on your data (with consent)
• Create aggregated, anonymized analytics to improve the platform
• Display your username and XP on the leaderboard (if you opt in)

We do NOT claim ownership of your trading data, and we will NOT sell your personal information to third parties.

7.3 Data Accuracy

• You are responsible for the accuracy of data you upload
• We do not verify the accuracy of imported trades
• CSV/Excel import errors are your responsibility to correct
• We provide duplicate detection but cannot guarantee 100% accuracy

8. Intellectual Property

All intellectual property rights in the M1NDTR8DE platform, including but not limited to software, design, logos, trademarks, user interface, features, and documentation, are owned by M1NDTR8DE or our licensors.

You may NOT:

• Copy, modify, or distribute our software or content
• Use our trademarks or branding without permission
• Reverse engineer or decompile the platform
• Create derivative works based on our service
• Remove or obscure any proprietary notices

9. Disclaimers and Limitations

9.1 Trading Risk Disclaimer

9.2 Service Availability

The service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind. We do not guarantee:

• Uninterrupted or error-free operation
• Accuracy or reliability of data, insights, or analytics
• Compatibility with all devices or browsers
• That the service will meet your specific requirements
• That defects will be corrected promptly

9.3 No Professional Advice

M1NDTR8DE and its AI Coach do not provide professional financial, investment, legal, tax, or psychological counseling services. Content on our platform is for informational and educational purposes only.

9.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, M1NDTR8DE SHALL NOT BE LIABLE FOR:

• Trading losses or financial damages of any kind
• Loss of data, profits, or business opportunities
• Indirect, incidental, consequential, or punitive damages
• Service interruptions or data loss
• Third-party actions or services (Clerk, Supabase, Paddle, PostHog)
• Inaccurate AI insights or analytics
• Unauthorized access to your account due to your negligence

Our total liability to you for any claim arising from your use of the service shall not exceed the amount you paid to us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless M1NDTR8DE, its officers, directors, employees, and affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use or misuse of the service
• Your violation of these Terms
• Your trading activities and decisions
• Your violation of any third-party rights
• Any content you submit or upload
• Referral fraud or abuse

11. Termination

11.1 Termination by You

You may terminate your account at any time by deleting it from your profile settings. Upon deletion:

• Your subscription will be cancelled (no refund for remaining time)
• All your data will be permanently deleted from our systems
• You will lose access to all features and data immediately
• Backup data may persist for up to 90 days

11.2 Termination by Us

We reserve the right to suspend or terminate your account if:

• You violate these Terms of Service
• You engage in fraudulent or abusive behavior
• Payment fails or is disputed
• We are required to do so by law
• We discontinue the service (with 30 days' notice)

We will provide notice of termination when possible, but reserve the right to terminate immediately for serious violations.

12. Privacy and Data Protection

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and protect your personal information.

By using M1NDTR8DE, you consent to the data practices described in our Privacy Policy, including:

• Collection of trading data and journal entries
• Use of Clerk, Supabase, PostHog, Plausible, Klaviyo, and Paddle services
• Product analytics tracking with PostHog (EU Cloud, GDPR compliant)
• Traffic analytics with Plausible (EU-based, cookie-free, GDPR compliant)
• IP address and device fingerprint logging for fraud prevention
• Cookie usage for referral tracking and authentication

13. Email Communications

13.1 Transactional Emails

By creating an account, you agree to receive essential transactional emails, including:

• Welcome emails and account confirmations
• Payment receipts and subscription notifications
• Security alerts and password reset requests
• Important service announcements and updates
• Referral reward notifications

Transactional emails are required for account operation and cannot be disabled.

13.2 Marketing Emails

With your explicit consent, we may send marketing communications including:

• Trading tips and psychological insights
• Feature updates and new product announcements
• Educational content and trading psychology resources
• Special offers and promotions

13.3 Your Choices

• Opt-in Required: Marketing emails require your explicit consent
• Easy Unsubscribe: You can unsubscribe from marketing emails at any time via the link in each email or in your profile settings
• Preference Management: Manage all email preferences in your profile settings
• No Impact on Service: Unsubscribing from marketing emails will not affect your access to our service or transactional emails

13.4 Email Service Provider

We use Klaviyo to manage email communications. By providing your email address, you acknowledge that your email and related data may be processed by Klaviyo in accordance with their Privacy Notice.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via:

• Email notification to your registered email address
• In-app notification upon login
• Update to the "Last Updated" date at the top of this page

Continued use of the service after changes constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the service and delete your account.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Germany, without regard to conflict of law provisions.

EU Consumer Protection: If you are a consumer habitually resident in the European Union, you will also benefit from any mandatory provisions of the law of your country of residence. Nothing in these Terms affects your rights as a consumer to rely on such mandatory provisions of local law.

Any disputes arising from these Terms or your use of the service shall be resolved through:

• Informal Resolution: Contact us at hello@m1nd.app to attempt resolution
• Mediation: If informal resolution fails, parties agree to attempt mediation
• Legal Action: Disputes that cannot be resolved through mediation may be brought before the courts of Frankfurt am Main, Germany, unless you are a consumer, in which case you may bring proceedings in the courts of your place of residence within the EU

Online Dispute Resolution: The European Commission provides a platform for online dispute resolution (ODR) at https://ec.europa.eu/consumers/odr/. We are not obliged or willing to participate in dispute resolution proceedings before a consumer arbitration board.

16. Miscellaneous

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and M1NDTR8DE regarding your use of the service.

16.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

16.4 Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms without restriction.

16.5 Third-Party Services

Our service integrates with third-party providers (Clerk, Supabase, PostHog, Plausible, Klaviyo, Paddle). We are not responsible for their services, and you should review their respective terms and privacy policies.
